NOTICE OF
NATIONAL ANNUAL GENERAL MEETING

NOTICE IS HEREBY GIVEN that an Annual General Meeting of the Members of the Directors Guild of Canada (DGC) will be held in person at the Hyatt Regency Calgary and streamed online via Zoom webinar on Saturday, April 29, 2023 at 3:00 pm MDT (5:00 pm EDT) for the following purposes:

1. To present the DGC annual report;
2. To present and, if thought fit, approve the annual financial statements of the DGC for the year ended December 31st, 2022 together with the report of the auditors;
3. To appoint auditors for the ensuing year;

Both Full and Associate Members are invited to join. However, only Full Members will be eligible to vote during the meeting.

• If you are planning to join in-person, please RSVP to membership@dgc.ca.
• If you are planning to join via Zoom webinar, please register using the Zoom Webinar Registration Link.
• If you are unable to attend in-person or via Zoom webinar, a Full Member in Active Good Standing of the Directors Guild of Canada (“Full Member”) may appoint another Full Member as a proxy holder (“Proxyholder”) to attend and act on their behalf at the meeting by filling out the Digital Proxy Form.

A Proxyholder may hold no more than 10 proxies. If the person you have designated as your Proxyholder already holds the maximum proxies allowed, then your proxy will be reassigned to another Full Member of your Council. If no member of your Council is available at the AGM, then a member of the DGC National Executive Board will act as your proxy designate.

If the person that you have appointed as your Proxyholder cannot attend the AGM, then your proxy will be reassigned to another member of your Council. If no member of your Council is available at the AGM, then a member of the DGC National Executive Board will act as your proxy designate.

A proxy must be registered with the DGC National Office by no later than 12:00 pm (noon) EDT on Monday, April 24, 2023 to be deemed valid. You may change the appointment of your Proxyholder prior to the set deadline by emailing membership@dgc.ca. Any proxies held by Proxyholders who confirm their attendance at the AGM and do not attend will be voided.
